TERMS OF SERVICE AGREEMENT

Payments:

Full payment is due at the time of order, monthly, in advance by Visa, MasterCard, AMEX or Paypal.

Term of Contract

A minimum full 6 month contract is required.

Cancellation

30 days written notice is required for cancellation of services.

Taxes

US purchases are tax exempt. Canadian purchases are subject to GST or HST.

Refunds

No refunds will be made on Pelican Studios SEO assignments before 240 days. Indexing and ranking in search engines is subject to server uptime, server settings, DNS settings, website coding and/or optimized content remaining intact. These inconsistencies can be corrected but will delay indexing and ranking.

Refunds are subject to the following conditions listed below only:

Major Search Engines:
Google, Bing and Yahoo combined represent 92% of all search engine traffic. Once your website/domain qualifies, we guarantee visibility on the very first page of the major search engines. Searching with single or multiple keywords related to your content, services or products will quickly reveal your website on the first page of at least one of the above search engines.

Definition of Single or multiple keywords related to your web site content, service(s) or product(s).
Pelican Studios Inc. will endeavor to bring all keyword and/or keyword phrases provided by the client to the top of the major search engines such as Google, Yahoo and/or Bing. This guarantee covers ‘popular’ or frequently searched keyword and keyword phrase rankings related to the client’s website product and/or services.

Limitations

There are exceptions and limitations to this guarantee. It must be understood by the client that ‘organic SEO’ programs cannot guarantee ‘specific’ keywords and/or keyword phrase rankings in specific search engines.

For example, this fictitious 'dog grooming store in North Vancouver BC' whose company name is ‘Clean Dogs R Us’ and whose domain name is ‘cleandogsrus.com’.

The list below illustrates typical ‘popular’ or frequently searched keyword phrases in the first page of major search engines. They would include any of the following:
dog groomers
dog groomers Vancouver
dog grooming North Vancouver
dog shampoo Vancouver BC
dog grooming supplies Vancouver BC
dog grooming clippers North Van

First page ranking on the company name ie: 'Clean Dogs R Us', the domain ‘cleandogsrus.com’ or results returning from a PPC campaign (Adwords, Sponsored Listings) do not constitute a successful first page ranking return. Therefore, these results cannot be guaranteed. The reason being that the company/domain names contain ‘specific’ keyword and/or keyword phrases that are not ‘popular’ or frequently searched within search engines.

Google, Yahoo and Bing Local (maps)

Positioning (ranking) in Google Local (maps), Yahoo local (maps) or Bing Local (maps) is available separately. This feature is recommended for business serving a local market because it increases your visibility and traffic.

Full Ownership

All content and documentation created for your website by Pelican Studios is yours to keep permanently. This includes all SEO and marketing preparation generated for your assignment. Upon preliminary completion of your assignment you will also receive a comprehensive outline of the work performed along with the associated files. This is will continue for any additional work we do to maintain the SEO ranking of your website.

Over-writing and re-installs:

Please be aware: It is the responsibility of the client to ensure all installed and optimized content remains intact. All editing, updating and publishing changes to your website done from copies on your PC will need to be used with the downloaded optimized files prepared for your assignment. Failure to do so will result in optimized content being erased.
***Charges for re-installation will apply.***

Negligence (Server Services)

Under no circumstances, including negligence, shall Pelican Studios Inc., its offices, agents or anyone else involved in creating, producing or distributing Pelican Studios Inc.’s Server service be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the Pelican Studios Inc.’s Server service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to Pelican Studios Inc.’s records, programs or services. Customer hereby acknowledges that this paragraph shall apply to all content on Pelican Studios Inc.’s service.

Remedies

Notwithstanding the above, Customer's exclusive remedies for all damages, losses and causes of actions whether incontract, tort including negligence or otherwise, shall not exceed the aggregate amount which the Customer paid during the term of this contract and any reasonable legal fee and court costs.

Lawful Purpose (Server Services)

Customer may only use Pelican Studios Inc.’s servers for lawful purpose. Transmission of any material in violation of Canadian and United States laws is prohibited. To this effect, child pornography, hate sites, warez is strictly prohibited as well as housing any copyrighted information (to which the customer does not hold the copyright) on Pelican Studios Inc.'s Server.

Indemnification

Customer agrees that it shall defend, indemnify, save and hold Pelican Studios, Inc. harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys' fees, ("Liabilities") asserted against Pelican Studios Inc., its agents, its customers, servants officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Pelican Studios, Inc. against Liabilities arising out of:
Any injury to person or property caused by any products sold or otherwise distributed in connection with Pelican Studios, Inc.'s Server; Any material supplied by Customer infringing or allegedly infringing on the proprietary rights of a third party;

Contract

These Terms and Conditions constitute the entire Contract and understanding of the parties. Any changes or modifications to these Terms and Conditions are agreed to by the both parties upon renewal of services.
